Terms of Service

1. Who we are and what these terms cover

Sro is operated by HumanStandard AI Inc. ("we", "us"). These Terms of Service ("Terms") govern your access to and use of sroaudio.com, the Sro console at console.sroaudio.com, the Sro API, and any related services (together, the "Services"). By creating an account, using an API key, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes it.

If you have a signed agreement with us that covers the Services, that agreement controls for the services it covers.

2. Accounts and API keys

You must give accurate sign-up information and keep it current. You are responsible for all activity under your account and under every API key issued to it. Keep keys secret and on your own servers; anyone holding a key can spend your credit. Revoke a key in the console as soon as you believe it has been exposed.

Free credit is offered once per person and organization. Creating several accounts, or adding the same card to several accounts, to obtain more free credit is a breach of these Terms.

3. Credit, pricing and billing

New accounts receive $1.00 of credit. Adding a payment card for the first time adds $4.00 of credit, once per card. Credit has no cash value, cannot be transferred, and is not refundable.

Current prices are published at sroaudio.com/build. Without a card on file, calls stop when your credit reaches zero. With a card on file, calls continue past your credit up to a spending limit (currently $50.00 unless we agree otherwise), and usage beyond your credit is charged to your card monthly in arrears through our payment processor, Stripe. You authorize those charges. Prices exclude taxes, which you are responsible for. We will give at least 30 days' notice on this site before raising prices; usage after the change is billed at the new price.

4. Your content and the consents you need

You retain all right, title and interest in the audio, questions and other material you send to the Services ("Your Content"), and you are solely responsible for it. You represent and warrant that you have all rights necessary to provide Your Content to us without infringing, violating or misappropriating any third party's rights.

Audio frequently contains other people's voices. Before you record, stream or upload audio of any person, you are responsible for giving every notice and obtaining every consent that applicable law requires, including call-recording and wiretap laws that require the consent of all parties, and privacy and biometric laws. You may not send us audio of anyone where doing so is unlawful.

You grant us the right to use and process Your Content to provide the Services, and to generate aggregated, de-identified data that can in no way be linked specifically to you or to any individual, which we may use for our business purposes, including improving, testing and operating our products and services.

5. Acceptable use

Except as expressly permitted, you shall not, and shall not permit any third party to, directly or indirectly:

  • reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, model weights or underlying structure, ideas or algorithms of the Services (except to the extent applicable law prohibits this restriction);
  • resell or sublicense direct access to the Services, or use them to build a product or service whose main purpose is to compete with Sro;
  • use the Services or any answer they return ("Output") to develop, train or improve any machine learning model, algorithm or service;
  • use the Services to identify or verify a specific individual from their voice, or to monitor any person covertly or unlawfully;
  • use the Services or any Output to harass, defame or unlawfully discriminate against any person, or as the sole or determinative basis for any legal, disciplinary, employment, credit, insurance or other decision with a significant effect on a person;
  • attempt to circumvent usage limits, spending limits, rate limits or any security measure of the Services, or interfere with their proper working.

You shall use the Services in compliance with all applicable laws and regulations.

6. Outputs

Sro returns probabilities and typed answers produced by machine learning. We publish measured accuracy for the kinds of questions we have tested, and answers to other questions are marked as unmeasured. Outputs can be wrong, and you are responsible for evaluating them for your use and for any action you take based on them.

7. Our property and feedback

We retain all right, title and interest in and to the Services and all software, models, works and other intellectual property related to them. No rights are granted except as expressly set out in these Terms. If you give us suggestions or feedback about the Services, you grant us a nonexclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid-up license to use and exploit that feedback for any purpose.

8. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE SERVICES USE ARTIFICIAL INTELLIGENCE AND PROBABILISTIC METHODS, AND OUTPUTS MAY CONTAIN ERRORS. WE MAKE NO REPRESENTATION OR WARRANTY AS TO THE ACCURACY, COMPLETENESS OR RELIABILITY OF ANY OUTPUT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, NOR OUR DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS, BE LIABLE UNDER ANY LEGAL OR EQUITABLE THEORY FOR (I) ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND, (II) ANY BUGS, VIRUSES OR THE LIKE REGARDLESS OF SOURCE, OR (III) ANY DIRECT DAMAGES IN EXCESS OF THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnity

You shall defend, indemnify and hold harmless HumanStandard AI Inc. and its affiliates, employees, contractors, directors, suppliers and representatives from all losses, liabilities and expenses (including reasonable attorneys' fees) arising from any third-party claim concerning Your Content, including any claim that you lacked a required consent, or your use of the Services in violation of these Terms or applicable law.

11. Suspension and termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, if a payment fails, if your use damages or materially degrades the Services for others, or as required by law. Charges for usage before termination remain due. Provisions that by their nature should survive termination survive, including ownership provisions, payment obligations, warranty disclaimers, indemnity and limitations of liability.

12. Changes to these terms

We may update these Terms from time to time. The date at the top reflects the current version. Material changes will be posted on this page, and your continued use of the Services after they take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the State of California, excluding its conflicts of law rules, and the parties consent to exclusive jurisdiction and venue in the state and federal courts located in San Francisco, California. If any provision of these Terms is held unenforceable, it shall be reformed only to the extent necessary to make it enforceable.
